Welcome to Project Quote! This Agreement ("Agreement") governs your relationship with Project Quote, LLC

These Terms and Conditions ("Terms") govern the relationship between StoneCanyon AI, LLC and its affiliates (collectively, "StoneCanyon"), the owner and operator of ProjectQuote.com, Pro.ProjectQuote.com, and affiliated platforms (collectively, the "Platform"), and you, the professional service provider signing up to use the Platform ("Service Provider," "you," or "Pro").

By creating an account or using the Platform, you acknowledge and agree that ProjectQuote is owned and operated by StoneCanyon and you are entering into a binding agreement directly with StoneCanyon under these Terms.

  1. Definitions
    • Billable Lead: any lead submitted to you that matches predetermined criteria and has not been validly returned.
    • Exclusive Lead: a lead delivered only to you at the time of delivery, though the consumer remains free to seek services elsewhere.
    • Shared Lead: a lead delivered to multiple service providers (typically up to four) within the StoneCanyon network.
    • Service Provider Materials: any information, content, trademarks, or data you provide to StoneCanyon for use on the Platform.
    • Services: access to the Platform, delivery of leads, and related services provided by StoneCanyon.
  2. Program Details.
    • Platform Access: You may update and maintain your profile, access leads, and use the dispute resolution system.
    • Lead Delivery: StoneCanyon delivers leads via email, webhook, or other approved method. Leads may be shared or exclusive.
    • Exclusivity: Exclusive Leads provide you with sole access to a consumer lead through the StoneCanyon network, but do not guarantee the job or prevent the consumer from seeking services elsewhere. Shared Leads may be delivered to multiple providers. You agree that you will be charged for each Lead you receive, regardless of outcome. StoneCanyon retains the right to re-market or re-engage consumers who have provided consent.
    • Code of Conduct: You agree to maintain professionalism, respect, fairness, honesty, reliability, and inclusiveness. Failure to comply may result in suspension or termination of your account.
    • Cooperation: You agree to reasonably cooperate with StoneCanyon to meet any technical requirements for delivery of Services.
  3. Billing, Payments, and Returns
    • Automatic Payments: Your designated payment method (credit/debit card) will be charged automatically for each Billable Lead delivered to you once your account is active. Charges apply at the moment lead information is delivered, regardless of whether you ultimately secure the consumer's business.
    • Invoicing: StoneCanyon will generate invoices reflecting your lead purchases. Payments are collected automatically, and statements are made available in your account dashboard.
    • Lead Returns: A Lead may only be returned if it meets return criteria, such as: invalid or non-working phone number, fraudulent or duplicate entry, or consumer denial of having submitted a request. Returned leads must not be used in any way after return. Returned leads are subject to a maximum return rate as specified by StoneCanyon; excess returns will not be credited.
  4. Intellectual Property and Use
    • StoneCanyon owns the Platform, leads, and all related intellectual property. You are granted a limited, non-transferable license to use leads solely to perform services under this Agreement.
    • You may not resell, reproduce, or exploit any leads or Platform content without written consent.
    • You grant StoneCanyon a non-exclusive license to use your trademarks, logos, and business information for marketing and lead delivery purposes, in compliance with any reasonable brand guidelines you provide.
  5. Warranties and Compliance
    • You have authority to enter this Agreement.
    • You will comply with all applicable laws, including TCPA, GDPR, CCPA, TSR, and CAN-SPAM.
    • Your materials do not infringe or violate any third-party rights.
    • You will not misrepresent your qualifications, licensing, or services.
    • StoneCanyon will not bid on your brand keywords or use your trademarks in advertising copy without consent.
    • Disclaimer: The Services and Leads are provided “as is” without warranties of any kind. StoneCanyon expressly disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. No results are guaranteed.
  6. Indemnity
    • You agree to indemnify and hold StoneCanyon harmless from claims, damages, or expenses arising from (i) your dealings with consumers, (ii) your use of leads, (iii) breach of these Terms, or (iv) your negligence or misconduct.
  7. Limitation of Liability
    • StoneCanyon shall not be liable for indirect, incidental, or consequential damages, including lost profits.
    • StoneCanyon's total liability is limited to the lesser of (i) the fees you paid in the three months preceding a claim, or (ii) $100.
  8. Confidentiality
    • Each party agrees to keep the other's confidential information private and not disclose it except as needed to perform obligations under this Agreement or as required by law.
  9. Term and Termination
    • These Terms renew month-to-month unless terminated.
    • StoneCanyon may suspend or terminate your account for any violation or at its discretion.
    • Upon termination, your access will end and StoneCanyon will have no further obligation to deliver leads.
  10. Additional Protections
    • Claim Limitations: Any claim you have must be made within 90 days after termination of this Agreement, or it is waived.
    • Force Majeure: StoneCanyon is not liable for delays or failures caused by events beyond its control (including natural disasters, pandemics, labor disputes, or government orders).
    • Modification: StoneCanyon may update these Terms at any time; continued use of the Platform constitutes acceptance.
  11. Governing Law and Jurisdiction
    • These Terms are governed by the laws of Delaware.
    • Any disputes shall be resolved in state or federal courts in Kentucky.
    • Both parties waive the right to a jury trial.
  12. Privacy Policy
    • Your use of the Platform is also subject to the ProjectQuote Privacy Policy available at: https://pro.projectquote.com/privacy-policy.
    • By using the Platform, you acknowledge and agree to the terms of the Privacy Policy, including how StoneCanyon collects, uses, and protects information.
  13. Website Subscription (AI Website or Pro Site)
    1. Description. StoneCanyon offers an optional Website Subscription service (the “Website Subscription”) under which StoneCanyon designs, configures, hosts, and maintains a professional profile website for the Service Provider (“Pro Site”). The Website Subscription is a self-service solution intended to help Pros present their services online and receive inquiries directly. There are no guarantees of lead volume, quality, or outcomes under the Website Subscription; the service provides a website, lead form, and related tools only.
    2. Pricing and Term. The Website Subscription is available for a fixed subscription fee billed on a monthly or annual basis (plus applicable taxes). Subscriptions run on a monthly or annual term, respectively, and auto-renew for successive terms unless cancelled as provided below. StoneCanyon may modify fees prospectively at renewal by providing notice consistent with Section 10 (Modification) and applicable law.
    3. Billing; Auto-Renewal; No Refunds. Fees are charged to the payment method on file at the start of each term and upon each renewal. All Website Subscription fees are non-refundable and not subject to pro-ration or credit, including for partial months/years or periods of inactivity. For annual plans, where required by law StoneCanyon will provide a renewal reminder in advance of auto-renewal.
    4. Cancellation. The Pro may cancel the Website Subscription at any time through the account portal or by contacting support; cancellation is effective at the end of the then-current billing term. Upon cancellation or termination (whether by Pro or StoneCanyon), the Pro Site may be disabled, repurposed and traffic may be redirected to ProjectQuote properties unless the Pro exercises the domain buyout option in Section 13.7.
    5. No Lead Returns or Credits (All-Inclusive Pricing). Lead return and credit provisions in Section 3 (Billing, Payments, and Returns) do not apply to the Website Subscription. The Website Subscription is all-inclusive for the flat monthly or annual fee described in Section 13.2; there are no lead-by-lead charges and no lead return rights or credits for Website Subscription users.
    6. Ownership of Leads From the Pro Site. The Pro receives and retains all inquiries/leads generated by the standard contact methods on the Pro Site (e.g., site contact forms and direct calls/texts routed to the Pro’s designated numbers) for the Pro’s own category and service area as configured in the Pro Site. StoneCanyon does not claim ownership of those leads.
    7. Domain Name; Buyout Option. Unless expressly agreed otherwise in writing, StoneCanyon (ProjectQuote) registers and owns the domain name used for the Pro Site. If the Pro wishes to exit the Website Subscription and assumes ownership of the domain, the Pro may request a domain buyout for a one-time fee of $500 (plus any outstanding account balances). Following receipt of payment and necessary transfer information, StoneCanyon will initiate transfer of the domain to the Pro’s designated registrar within a commercially reasonable time, subject to registry/registrar rules and any transfer locks or waiting periods imposed by third parties.
    8. StoneCanyon Monetization on Pro Site. The Pro acknowledges and agrees that StoneCanyon may include on the Pro Site (including on subpages) one or more monetization elements, which may vary over time, such as: advertisements, sponsorships, direct product links, affiliate links, credit-card or financing offers, chatbot widgets, and—over time—billing, quoting, and scheduling widgets offered by StoneCanyon or its partners. Such elements may generate referrals or leads for other categories, geographies, or partners; those leads are not part of the Pro’s leads under Section 13.6. Monetization activities will be conducted in accordance with the Privacy Policy and applicable law.
    9. Add-Ons and Pass-Through Costs. Optional add-ons—site customization, advertising/AdSpend, phone center services, scheduling integrations, and billing/quoting/scheduling modules—are available and billed separately at then-current rates or as pass-through costs. Any media spend (e.g., ad network budgets) is separate from Website Subscription fees and may require prepayment or a payment authorization. Third-party terms from integrated providers may also apply.
    10. Setup; Self-Service. The Website Subscription is primarily a self-service offering. The Pro is responsible for providing accurate business information, service categories, service area, and any images or content to be displayed. StoneCanyon may provide templates, AI-assisted content, and configuration tools to accelerate setup.
    11. Content; Licenses; Responsibility

      (a) Pro Materials. The Pro represents and warrants it has all rights to the content it supplies (including images, logos, and copy) and grants StoneCanyon a non-exclusive license to host, reproduce, and display such materials on the Pro Site.

      (b) StoneCanyon Materials. All templates, software, AI models, and underlying code remain the exclusive property of StoneCanyon; the Pro receives a limited, revocable, non-transferable license to use the Pro Site during an active Website Subscription.

      (c) AI-Assisted Content. AI-assisted outputs may contain errors or omissions. The Pro is solely responsible for reviewing and approving all final site content and for ensuring legal and regulatory compliance for the Pro’s services and claims.

    12. Acceptable Use; Prohibitions. In addition to the Code of Conduct and other restrictions in these Terms, the Pro Site may not host or promote unlawful, deceptive, infringing, harmful, or adult content; malware; or any activity that violates third-party rights, advertising rules, or platform policies. StoneCanyon may remove or disable content or features that, in its reasonable judgment, violate these Terms or applicable law.
    13. No Warranties; Service Levels. The Website Subscription is provided “as is” and “as available” without warranties of any kind. StoneCanyon does not warrant uninterrupted or error-free operation, specific search engine rankings, or any level of traffic or conversions. Sections 5 (Warranties and Compliance) and 7 (Limitation of Liability) apply in full to the Website Subscription.
    14. Data; Privacy. StoneCanyon may collect and use Pro Site traffic and usage data (including de-identified or aggregated data) for analytics and service improvement, and may engage in monetization activities described in Section 13.8. Personal data collected through the Pro Site will be handled in accordance with the ProjectQuote Privacy Policy and applicable laws; the Pro agrees to provide any required disclosures to its customers where the Pro independently collects or processes personal data through the Pro Site.
    15. Suspension; Termination. StoneCanyon may suspend or terminate the Website Subscription for non-payment, repeated charge failures, violation of these Terms (including Acceptable Use), or legal/risk considerations. Upon termination, the licenses granted to the Pro under Section 13.11(b) cease. Sections 6 (Indemnity), 7 (Limitation of Liability), 8 (Confidentiality), and 11 (Governing Law and Jurisdiction) survive.
    16. Relationship to Other Program Terms. Except as expressly modified in this Section 13, all other Terms remain in force. For clarity, Section 3’s “Lead Delivery,” “Billing,” and “Lead Returns” mechanics apply to lead-purchase programs only and do not apply to the Website Subscription, which is priced as a flat recurring subscription with no lead credits or returns.

Jurisdiction-Specific Auto-Renewal Riders

  • California Residents.

    If you reside in California, the following additional terms apply:

    • (a) StoneCanyon will provide a clear and conspicuous renewal reminder notice before your Website Subscription automatically renews for an annual term, including details on how to cancel.
    • (b) You may cancel your Website Subscription online, at any time, at no additional cost, using the same method you used to enroll.
    • (c) Any free trial or promotional offer will disclose the pricing and renewal terms before you are charged.
  • New York Residents.

    If you reside in New York, the following additional terms apply:

    • (a) StoneCanyon will provide a renewal reminder notice for annual subscriptions 15–30 days prior to the renewal date.
    • (b) You may cancel your Website Subscription online at any time through your account portal, by email, or by contacting support.
    • (c) StoneCanyon will provide a simple, cost-effective, timely, and easy-to-use mechanism for cancellation that is available whenever you are billed.
